Resolutiion raises $10.4M Seed to detect contract disputes before they become claims

Resolutiion (London) has raised $10.4 million (€9.5 million) in a Seed round led by LocalGlobe, with participation from Cherry Ventures, Octopus Ventures, and Auxxo. Founded in 2022 by Fayola-Maria Jack — who managed a £6 billion contract portfolio for the RAF, served on the UK Cabinet Office's Complex Transactions Team, and established the UK government's first Commercial Dispute Resolution Practice — the company is building AI infrastructure for the phase of a contract that existing legal AI tools do not touch: what happens after it is signed.

The round brings the company's known funding to $10.4 million. At eighteen employees, it is still early in headcount terms.

The post-signature gap

The premise is specific. Five percent of contracts end in disputes. For an organisation with £1 billion in revenue, that translates to £50–90 million in dispute costs annually — legal fees, management time, project delays, and the commercial damage of a supplier or client relationship that has turned adversarial. The standard response is to manage disputes when they arrive. Resolutiion argues they arrive because the signals were missed weeks earlier.

The platform — Octavia, built on the OctaviaCore engine — monitors the communications that run alongside a live contract: emails, project management trackers, invoices, supplier messages. It identifies patterns in language and behaviour that precede formal dispute claims: missed acknowledgements, tone shifts, payment delays, scope queries. The output is an early warning, surfaced to the relevant contract manager or legal team, before the counterparty has filed anything. The claimed advantage over pre-signature legal AI tools (Luminance, Harvey, Robin AI) is not sophistication — it is positioning. Post-signature is a gap because it requires integrations with operational systems, not document repositories.

Fayola-Maria Jack spent years on the other side of these disputes — writing the internal policy that tried to catch them after the fact. Resolutiion is the infrastructure she describes as missing.

The investor mix

LocalGlobe (also known as Phoenix Court Group) is the UK's most active seed fund; its bets here tend to follow founder pedigree as closely as technology thesis. Cherry Ventures adds a continental European dimension from Berlin; Octopus Ventures brings deep healthcare and technology coverage across the UK market. Auxxo, a Munich-based fund that specifically backs women-founded startups across Europe, enters the cap table alongside them.

The use of funds is pointed: defence and energy — long-duration, high-stakes, counterparty-complex sectors where a missed dispute signal carries significant cost. The UK government's current infrastructure and defence procurement pipeline provides a natural target customer base for a founder whose prior career was built inside it.
